Welcome to VitaWerks, www.vitawerks.com (the “website”) owned and operated by VitaWerks Inc. a Delaware Corporation. VitaWerks is a technology enabled healthcare marketplace platform that connects Healthcare Professionals seeking to provide professional services per diem (the “Healthcare Professional Services” or “Healthcare Services”) and Healthcare Facilities seeking to engage Healthcare Professionals to perform services.

The following discloses our information-gathering and dissemination practices for our website, services and the VitaWerks desktop/mobile application (collectively, the “Service”).

By using the Service, you do hereby warrant and represent that you have read, understand and agree to all terms and conditions stated herein, including our Terms of Use, which is incorporated herein by reference, which govern the use of the services offered by VitaWerks, and that you are giving VitaWerks permission to use and store such information consistent with this privacy policy and our Terms of Service.

A user of the Service is hereinafter referred to as a “User,” or collectively, the “Users.”

Personal Information

VitaWerks collects personal information only if you voluntarily choose to share such information with VitaWerks. You may browse the Site without disclosing any personal information. However, in order for you to take advantage of particular opportunities provided through the Service, we may require that you furnish personal information. When you register your account, sign up for newsletters, complete forms for optional programs, surveys, contests and other entries, and through communications transmitted through VitaWerks, applications and your use of the VitaWerks mobile application, we collect information including your name, address, phone number, and email address. You also may choose to send VitaWerks personally identifying information in an email message containing information or inquiries about the Service. Prior to having our first direct engagement with an individual, we may occasionally gather Personal Information about that person from other sources.

Anonymous or Aggregated Data

VitaWerks collects and stores certain data about the use of the Service on an aggregate and/or anonymous basis. VitaWerks does not link this information to anything personally identifiable to you.

Cookies and Other Technologies

When you visit websites on the Internet, your browser may automatically transmit information to the websites you visit throughout every visit. Like many websites, we may use “cookies” to collect information. A cookie is a small data file that we transfer to your computer’s hard disk for record-keeping purposes. We may utilize persistent cookies that only VitaWerks can read and use to save your login information for future logins to the Service, to hold session information, and to track user preferences. We may utilize session ID cookies to enable certain features of the Service, to better understand how you interact with the Site and to monitor aggregate usage by our users and web traffic routing on the Service, to track the number of entries in VitaWerks promotions, sweepstakes and contests and to identify visited areas of the Site and Service. Unlike persistent cookies, session cookies are deleted from your computer when you log off from the Site and Service and then close your browser. We may use Flash cookies (or local shared objects) to store your preferences or display content based upon what you view on our site to personalize your visit. You can instruct your browser, by changing its options, to stop accepting cookies or to prompt you before accepting a cookie from the websites you visit. If you do not accept cookies, however, you will not be able to use all portions or all functionalities of the Service. We and our service providers may also use “pixel tags,” “web beacons,” “clear GIFs,” or similar means in connection with the Service and HTML-formatted email messages to, among other things, track the actions of Users and email recipients, to determine the success of marketing campaigns and to compile aggregate statistics about Site usage and response rates. We may also engage one or more third party service providers to serve online advertisements on our behalf. They may use a “pixel tag” to collect anonymous information about your visits to this Site and to other websites, and they may use that information to target advertisements for goods and services. This information is collected anonymously, in a manner that does not personally identify you. Additionally, the Company gathers and uses personal data about its employees and contractors (“Data”), which may include: name, address, location, professional information, survey and testimonial information, and any other information you voluntarily choose to supply.

VitaWerks uses Personal Information for the following general purposes:

  • To provide our products and the Service.
  • For billing, identification and authentication, and fraud prevention.
  • To analyze Site usage and improve our products and the Service.
  • To contact you and deliver administrative notices and communications relevant to your use of our products and services.
  • For internal market research, troubleshooting problems, and detecting and protecting against error, fraud or other criminal activity.
  • For distribution to third-party contractors that provide services to VitaWerks and partners of VitaWerks who are bound by privacy restrictions at least as restrictive as those set forth in this Policy.
  • To enforce our Terms of Service, and as otherwise set forth in the Policy.
  • VitaWerks may use your cell phone number to call or text you in order to provide the Service.
  • Data is only used for the purposes of facilitating the performance of certain administrative tasks and functions relating to payments and billing and for processing and investigating reports under the Company’s codes and policies.

Choice/Opt-Out

You may opt-out of receiving communications from us and our partners, remove your information from our database, and choose to not receive future communications unrelated to the Service.

During registration you choose whether to receive correspondence from either VitaWerks or its partners and whether you want to participate in a variety of VitaWerks programs. This information remains on your Profile.  You may contact VitaWerks customer support (privacy@vitawerks.com) at any time to update your contact information and notification preferences.  If you enroll with VitaWerks, we may occasionally contact you with information about special events, activities, promotions, contests, submission opportunities and programs. You always have the option to ask VitaWerks not to contact you with this information again.

If you receive unsolicited email from a VitaWerks domain, please contact us at privacy@vitawerks.com.

To preserve the integrity of our databases, we may retain information submitted by Users for an indefinite length of time. If required by law, we will delete Personal Information by erasing it from our database. We will also respond to User requests to delete or correct account or Personal Information, which you can do by contacting VitaWerks at privacy@vitawerks.com.

Your VitaWerks account is protected so that only you and authorized VitaWerks staff have access to your account information. In order to maintain this protection, do not give your account access information to anyone. If someone who represents to you that they are VitaWerks staff and asks for any personal account information, including password, check their URL. Also, if you share a computer, you should sign out of your VitaWerks account and close the browser window before someone else logs on.

This will help protect your information entered on public terminals from disclosure to third parties.

VitaWerks makes every effort to ensure that your information is secure on its system by backing up data in separate backup drives and using public key access encryption and firewalls on both our main and backup servers. Access to Personal Information is restricted to specific authorized VitaWerks staff, and even then, only when it is necessary for their duties. VitaWerks is committed to upholding our Privacy Policy and other privacy-related activities, routinely assessing security, and ensuring that all VitaWerks staff are aware of our security procedures.

With whom does VitaWerks share information?

When you submit information to VitaWerks, it is collected, processed and maintained solely by us or by third party agents who are bound by privacy restrictions at least as restrictive as those set forth in this policy. We may allow our business partners to collect information about Users that are not extremely sensitive. If you would like to opt out from the onward transfer of your information to our non-agent partners, you may send us an email at privacy@vitawerks.com. Include the word “privacy” in the subject line of the email and all your registration information in the body of the email.

Partners may sponsor promotions, contests and sweepstakes that require you to reveal details such as your name, address or phone number. Always check their privacy policy before revealing information about yourself. If you don’t want these sponsors to have your personal information, you can choose to not participate.

VitaWerks reserves the right to disclose Personal Information from both private and public areas of this website at our discretion, if required by law or if we are given reason to believe, in our sole discretion, that someone is causing injury to or interference with the rights of Users, the general public, or VitaWerks, to comply with a judicial proceeding, court order or legal process.

We will not transfer to a non-Agent third party any Personal Information that is sensitive in nature, such as information specifying your medical or health condition, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership without your prior affirmative consent.

Finally, VitaWerks reserves the right to transfer, sell and/or distribute all information collected through the Service to an affiliate, subsidiary, or third party in the event of any reorganization, merger, sale, joint venture, assignment, transfer or other disposition of all or part of our business, assets or stock. We will use our best efforts to ensure that the new entity follows this Privacy Policy with respect to your Personal Information, as and to the extent required by applicable law.

How can I edit my personal information?

VitaWerks believes strongly in giving you the ability to access and edit your personal information. To update your personal info, please login and use the VitaWerks App available on App store or Google Play or contact our support team at privacy@vitawerks.com and we will assist you.

So that we can protect the integrity of sensitive data, there are certain pieces of information, such as your age, that you cannot alter yourself. For example, as individuals under the age of 18 are not permitted to register as Users, we need to take reasonable measures to preserve the accuracy of our Users’ ages. Please contact us at privacy@vitawerks.com to find out how to change information you cannot access through your account.

Our databases automatically update any Personal Information you edit in your profile, or that you request we edit. Information transmitted through boards, chats, polls or through any other means remains in our databases and becomes the property of VitaWerks upon submission.

Notification of changes

VitaWerks’s security and privacy policy are periodically reviewed and enhanced as necessary. This policy might change as VitaWerks updates and expands the Service. VitaWerks will endeavor to notify you of these changes by email, but will not be liable for any failure to do so. VitaWerks also encourages you to review this privacy policy periodically. Users from outside the United States

VitaWerks and its Service are based in the U.S., and the Company’s offices are headquartered in the U.S. Please be aware that information you provide to VitaWerks that it obtains as a result of your use of the Service may be processed and transferred to the U.S. and be subject to U.S. law. The privacy and data protection laws in the U.S. may not be equivalent to such laws in your country of residence. By using the Website, participating in any of the Service, or by providing VitaWerks with your information, you consent to this collection, transfer, storage, and processing of information to and in the U.S. VitaWerks will take all steps reasonably necessary to ensure that you data is treated securely in accordance with this Privacy Policy.

ADDENDUM FOR CALIFORNIA RESIDENTS

This addendum applies to you only if you are a California resident. The California Consumer Privacy Act (“CCPA”) regulates how covered businesses handle “personal information” (as such term is defined in the CCPA) of California residents and gives California residents certain rights with respect to their personal information. If you are a resident of California, we are required to inform you of how we use and disclose your personal information and certain rights you may have under the CCPA. For purposes of this Addendum, references to “personal information” shall include “sensitive personal information” (as such terms are defined in the CCPA).

The following chart outlines the business purposes for which VitaWerks gathers and uses your personal information, including sensitive personal information. We are committed to properly handling the personal information collected or processed in connection with any Healthcare Professional’s access to or use of our Mobile Platform.

We do not share sensitive personal information we collect from users of our technology platform with third parties for cross-context behavioral advertising, nor do we sell any personal information about them.

For each category below, we may retain the data as reasonably necessary to comply with applicable law and fulfill the Business Purpose as well as any other purpose for which you provided the data. When determining the length of time to retain your personal information, we consider various criteria, including whether we need the actual information to continue to provide you the Solutions, resolve a dispute, enforce our contractual agreements, prevent harm, promote safety, security and integrity, or protect ourselves, including our rights, property or products.

We do not collect, use, or disclose personal information for purposes other than those specified in the Privacy Policy and this Addendum. Further, we only use and disclose sensitive personal information for purposes permitted by the CCPA, or otherwise with your consent.

The Company does not, and during the past 12 months did not, “sell” or “share” personal information of California residents (as such terms are defined in the CCPA). Further, we do not “sell” or “share” personal information of California residents under 16 years of age, nor do we have actual knowledge that such “selling” or “sharing” has ever occurred.

Rights under the CCPA 

As a California resident, you may have the rights listed below in relation to personal information that we have collected about you. However, these rights are not absolute, and in certain cases, we may decline your request as permitted by law.

Right to Know Request

Under the CCPA, California residents have a right to request information about our collection, use, and disclosure of your personal information over the prior 12 months, and ask that we provide you free of charge with the following information:

  1. the categories of personal information about you that we collected;
  2. the categories of sources from which the personal information was collected;
  3. the purpose for collecting personal information about you;
  4. the categories of third parties to whom we disclosed personal information about you and the categories of personal information that was disclosed (if applicable) and the purpose for disclosing the personal information about you; and
  5. the specific pieces of personal information we collected about you.

Right to Delete Request

Under the CCPA, you also have a right to request that we delete personal information, subject to certain exceptions.

The Right to Opt Out of Personal Information Sales

You have the right to direct us not to sell Personal Information we have collected about you to third parties now or in the future.

If you are under the age of 16, you have the right to opt in, or to have a parent or guardian opt in on your behalf, to such sales.

The Right to Non-Discrimination

You have the right not to receive discriminatory treatment for exercising these rights.

However, please note that if the exercise of these rights limits our ability to process Personal Information (such as in the case of a deletion request), we may no longer be able to provide you our products and services or engage with you in the same manner

How to Exercise Your Rights under CCPA

If you are a California resident to whom the CCPA applies, you may contact us to exercise your rights by calling us, toll free, (818) 722-1230 or by emailing us at privacy@vitawerks.com. Because we do not “sell” or share” personal information (as such terms are defined under the CCPA), we do not respond to opt-out preference signals.

Once we receive your request, we will review it, determine whether we can verify your identity, and process the request accordingly. We may need to collect information from you to verify your identity, such as your email address, government issued ID or date of birth.

You may make a verifiable consumer request to access your personal information twice per 12-month period. We aim to fulfill all verified requests within 45 days pursuant to the CCPA. If necessary, extensions for an additional 45 days will be accompanied by an explanation for the delay.

You may designate, in writing or through a power of attorney document, an authorized agent to make requests on your behalf to exercise your rights. Before accepting such a request from an agent, we will require that the agent provide proof that you have authorized them to act on your behalf, and we may need you to verify your identity directly with us.

Before processing your request, we will need to verify your identity and confirm you are a resident of the State of California. In order to verify your identity, we will generally either require the successful authentication of your account, or the matching of sufficient information you provide us to the information we maintain about you in our systems. This process may require us to request additional Personal Information from you, including, but not limited to, your email address, phone number, and/or date of last transaction on our Services.

In certain circumstances, we cannot respond to your request or provide you with Personal Information if we cannot verify your identity or authority to make the request and confirm the Personal Information relates to you.

Personal Information Sales Opt-Out and Opt-In Rights

To exercise the right to opt-out, you may submit a request to us titled “Do Not Sell My Personal Information” to privacy@vitawerks.com.

If you change your mind and want to opt back into Personal Information sales, you may submit a request by emailing privacy@vitawerks.com.

Authorized Agents

In certain circumstances, you are permitted to use an authorized agent (as that term is defined by the CCPA) to submit requests on your behalf through the designated methods set forth in this CA Notice where we can verify the authorized agent’s authority to act on your behalf.

For requests to access, know or delete Personal Information, we require the following for verification purposes:

  • a power of attorney valid under the laws of California from you or your authorized agent; or
  • sufficient evidence to show that you have: (1) provided the authorized agent signed permission to act on your behalf; and (2)verified your own identity directly with us pursuant to the instructions set forth in this CA Notice; or directly confirmed with us that you provided the authorized agent permission to submit the request on your behalf.

For requests to opt-out of Personal Information “sales”, we require a signed permission demonstrating your authorized agent has been authorized by you to act on your behalf.

Minors Under 16

We do not sell the Personal Information of consumers we know to be less than 16 years of age, unless we receive affirmative authorization (the “Right to Opt In”) from either the minor who is between 13 and 16 years of age, or the parent or guardian of a minor less than 13 years of age.  Please contact us at privacy@vitawerks.com to inform us if you, or your minor child, are under the age of 16.

Financial Incentives

We may offer you financial incentives for the collection, sale, retention, and use of your Personal Information as permitted by the CCPA that can, without limitation, result in reasonably different prices, rates, or quality levels. The material aspects of any financial incentive will be explained and described in its program terms. Please note that participating in incentive programs is entirely optional, you will have to affirmatively opt-in to the program and you can opt-out of each program (i.e., terminate participation and forgo the ongoing incentives) prospectively by following the instructions in the applicable program description and terms. We may add or change incentive programs, and/or their terms by posting notice on the program descriptions and terms, so check them regularly.

Each financial incentive or price or service difference related to the collection and use of Personal Information is based upon our reasonable, good-faith determination of the estimated value of such information to our business, taking into consideration the value of the offer itself and the anticipated revenue generation that may be realized by rewarding brand loyalty. We calculate the value of the offer and financial incentive by using the expense related to the offer.
